Terms of Service

You must be at least 13 years of age (or 16 years of age if you are a resident of the European Union) to use the Service. By creating an account, you represent and warrant that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

• You agree to provide accurate, current, and complete information during registration and to keep this information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at support@feedbackloop.studio if you suspect unauthorized access to or use of your account.
• One person may not maintain more than one free account. Duplicate accounts may be terminated at our discretion.
• You may not create an account on behalf of another person without their explicit consent.

We are not liable for any losses caused by unauthorized use of your account where you have failed to keep your credentials secure. We will never ask you for your password via email or chat.

You retain full ownership of all audio tracks, feedback, comments, profile content, and other material you upload, post, or create through the Service ("User Content"). These Terms do not transfer ownership of your content to us.

By submitting User Content to the Service, you grant Feedback Loop a limited, worldwide, non-exclusive, royalty-free, sublicensable license to:

• Store, host, back up, and serve your content to provide the Service.
• Display your profile information, track metadata, and public content to other users of the platform.
• Enable other users to stream your audio content within the platform, strictly for the purpose of providing and receiving feedback.
• Generate waveform visualisations and other technical representations of your audio for display purposes.
• Transcode or reformat content as technically required for delivery.

This license is limited strictly to operating the Service. We will not use your audio content for training machine learning or AI models, license it to third parties, or use it in marketing without your explicit written consent.

You represent and warrant that:

• You are the original creator of all content you upload, or you have all necessary rights, licences, and permissions to upload and share it on the Service.
• Your content does not infringe any third party's copyright, trademark, moral rights, right of privacy, right of publicity, or other intellectual property or proprietary rights.
• You have the right to grant the licenses described in Section 3.2.
• Your content does not violate any applicable law, regulation, or these Terms.

We do not pre-screen User Content but reserve the right to review, flag, and remove any content that we determine, in our sole discretion, violates these Terms or our Community Guidelines, or that could expose us or our users to harm or legal liability.

We respect intellectual property rights. If you believe that content on our platform infringes your copyright, please send a DMCA notice to legal@feedbackloop.studio including: (i) identification of the copyrighted work, (ii) identification of the allegedly infringing material and its location on the Service, (iii) your contact information, (iv) a statement of good faith belief that the use is not authorized, and (v) a statement of accuracy and authority to act.

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, discriminatory, or otherwise objectionable.
• Upload content that infringes any third party's intellectual property rights.
• Distribute malware, spyware, or any other malicious code.

• Manipulate the credit system, feedback economy, or gamification features through artificial means, bots, or coordinated abuse.
• Create fake accounts or impersonate any person, entity, or Feedback Loop staff.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or connected systems.
• Use automated scrapers, bots, or data harvesting tools on the Service without prior written permission.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Circumvent any rate limits, access controls, or security measures.

• Harass, bully, stalk, intimidate, or threaten other users.
• Post spam, unsolicited commercial messages, or chain messages.
• Engage in any conduct that degrades the quality of feedback or collaborative experience for other users.
• Share another user's private or personally identifiable information without their consent ("doxxing").

Credits are a virtual currency used within the Feedback Loop platform to access AI feedback features and submit tracks to feedback pools. Credits have no monetary value outside the platform and cannot be exchanged for cash.

You can earn credits by:

• Providing substantive feedback comments to other users' tracks.
• Participating actively in feedback pools.
• Completing onboarding tasks or receiving a referral bonus.
• Receiving credits from other users via the platform's mechanisms.

You may purchase additional credits via the Credits page using a valid payment method. All purchases are processed by Stripe. Credits are added to your account upon successful payment confirmation.

All credit purchases are final and non-refundable, except as required by applicable consumer protection laws in your jurisdiction. Credits expire upon account termination. Pro subscription fees are non-refundable except as described in Section 6.

Any attempt to exploit, manipulate, or game the credit system (e.g., coordinated fake feedback rings, automated submissions) is a material breach of these Terms and may result in permanent account termination and forfeiture of all credits.

Feedback Loop offers a Pro subscription tier that provides unlimited AI feedback, access to premium features, and other benefits as described on the Pricing page. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected).

We may offer free trial periods for Pro subscriptions. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial period ends.

You may cancel your Pro subscription at any time via your account Settings. Cancellation takes effect at the end of the current billing period. You will retain Pro access until the end of the paid period. No partial refunds are issued for unused time within a billing period.

We reserve the right to change subscription prices. We will notify you at least 30 days in advance of any price change. Your continued subscription after the effective date constitutes acceptance of the new price.

If a recurring payment fails, we will attempt to retry the charge. If the payment remains unpaid after a grace period, your Pro subscription will be downgraded to the free tier.

We offer a 7-day money-back guarantee for first-time Pro subscription purchases if the Service does not function as described. To request a refund under this policy, contact support@feedbackloop.studio within 7 days of your initial charge. Refunds are not available for renewal charges or credit purchases.

All aspects of the Service excluding User Content — including but not limited to the platform's design, user interface, source code, branding, logos, trademarks, algorithms, and original content — are and remain the exclusive property of Feedback Loop and its licensors, protected by copyright, trademark, trade secret, and other applicable intellectual property laws.

You may not copy, modify, distribute, sell, sublicense, or create derivative works based on any part of the Service without our prior written consent. You are granted a limited, revocable, non-exclusive license to use the Service solely for its intended purpose and in accordance with these Terms.

If you submit ideas, suggestions, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation or attribution to you.

You may terminate your account at any time by submitting an account deletion request from the Privacy Center within the app. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Certain data may be retained as required by law.

We may suspend or permanently terminate your account, with or without notice, for any of the following reasons:

• Material breach of these Terms or Community Guidelines.
• Fraudulent, abusive, or illegal activity.
• Failure to pay any amounts due.
• Upon receipt of a valid legal order requiring removal of your account.

Upon termination: (i) your right to access the Service ceases immediately; (ii) we may delete your User Content (subject to legal retention requirements); (iii) unused credits are forfeited; (iv) no refunds will be issued for any remaining subscription period unless required by law.

Before initiating any formal legal proceedings, you agree to first contact us at legal@feedbackloop.studio and attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days.

These Terms shall be governed by and construed in accordance with applicable laws. For users in the European Union, mandatory consumer protection provisions of your country of residence shall apply. Nothing in these Terms limits your rights as a consumer under applicable local law.

To the extent that court proceedings are not excluded, disputes shall be subject to the exclusive jurisdiction of courts with competent jurisdiction, unless you are entitled under applicable law to bring proceedings in your country of residence.

WHERE PERMITTED BY LAW, YOU AGREE TO RESOLVE ANY DISPUTES WITH US ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Feedback Loop regarding the Service and supersede all prior agreements.

If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, strikes, power outages, or internet failures.
